PLEASE READ THIS AGREEMENT CAREFULLY BEFORE MAKING YOUR DONATION. BY CLICKING THE "ACCEPT" BUTTON, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.

This Donation Waiver of Liability, and Indemnification Agreement (the "Agreement") is entered into by and between the donor ("Donor") and the recipient individual or Vegan Leaders in Corporate Management, Inc., a non-profit, 501(c)3 organization ("Recipient"), collectively referred to as "Parties".

1. WAIVER OF LIABILITY

In consideration of the Donor’s contribution towards funds solicited and received by the Recipient for use on the Recipient’s donation page, the Donor hereby waives and releases any and all claims, actions, causes of action, demands, obligations, liabilities, and expenses of any nature, whether known or unknown, contingent or fixed, arising out of or relating to the donated funds.

2. INDEMNIFICATION

The Donor agrees to indemnify, defend, and hold harmless the Recipient, its officers, directors, employees, agents, representatives, and volunteers from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorney's fees) arising out of or in connection with the donated funds and the Donor’s use of the Recipient’s donation page.

3. AUTHORIZED USE OF FUNDS

The Donor understands and acknowledges that the donated funds shall be used by the Recipient in alignment with the mission and goals of the Recipient’s organization, as determined by the Recipient’s board. The Recipient shall exercise prudent financial management in utilizing the donated funds to further the purpose of the 501(c)(3) organization.

4. DISCLAIMER

The Donor acknowledges that the Recipient has no control over the ultimate allocation and distribution of funds and cannot guarantee the effectiveness or success of any project or program funded by the donation. The Donor understands and accepts that any information provided by the Recipient regarding the use of funds is for general informational purposes only and does not constitute a legally binding obligation.

5. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, understandings, and representations, whether oral or written, with respect to the subject matter hereof.

6. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the state of California or another jurisdiction as determined by VLCM at its sole discretion. The Parties agree to submit to the exclusive jurisdiction of the courts in that jurisdiction.

IN WITNESS WHEREOF, the Donor hereby acknowledges and agrees to be bound by this Donation Waiver of Liability, and Indemnification Agreement.
